On the next page is shown the Organization Chart of the Company's
Functional Structure, which was established in view of optimize the performance
of the organization and assure a clear attribution of responsibilities,
considering the following criteria:

essential activities; |

kind of leadership and decision making; |
 |
objectives and added value of each function; |
The respective structure presents a Chairman of the Board
of Directors, from whom depend:

the Executive Manager; |
 |
the Direction of Quality; |
 |
the Administrative and Financial Direction; |
 |
the Direction of Human Resources and Communication;

 |
the Direction of Management Control and Planning;
|
 |
the Direction of Development and Marketing. |
From the Chairman of the Board of Directors depend as well the General
Services of Support in charge of providing services in the field of
informatics,
documentation and others, of support to the organizational units of the
Company.
On his turn, the Executive Manager co-ordinates the Strategic Business
Units, the Technical and Operational Units and the Production General
Services
In this sense, the Company's structure is composed by two kinds of bodies:

structures of administration, supervision or
support, oriented towards the internal client, whose functions
are transversal and aim at the providing of services to all the
areas of the Company, privileging the functional specialization; |
 |
operational units, oriented towards the external
client, organized by business areas, privileging the relationship
with the client, both in the commercial and productive component. |

Chain of Decisional Value
In the chain of transversal decision, aiming at the global management
of the Company, four Councils intervene, having in mind to optimize the
processes emerging from the co-ordination and planning of the different
activities, as well as to delineate pro-active strategies with regard
to the actual and potential Markets where the Company works.
Centres of Competence
On the following page is shown the Organization Chart of the Operational
Structure of HIDROPROJECTO, essentially addressed to the external client,
both in the commercial and management components and in the productive
component.
As shown in the Organization Chart, the Company's operational structure
comprises five Strategic Business Units (Operational Directions) and,
at present date, twenty two Technical and Operational Units (Technical
Directions / Centres of Competence).
